Website Terms 

Welcome to the Website (the “Site”) of Horangi Pte. Ltd. (“Horangi”, “we”, “our”, or “us”). 

This Website Use Agreement (“Website Terms”) governs your access to and use of the Site, and any content or functionality offered on it. The Website Terms are in addition to, and do not override, the specific terms and conditions that apply to the products or services offered by Horangi.

By accessing or using this Site, you acknowledge that you have read, understood and agreed to be bound by the Website Terms. If you do not agree with any of the Website Terms, please discontinue your access to the Website immediately. 

If you are accessing and/or using the Site on behalf of a corporation, business or other legal entity, you represent and warrant to us that you are at least eighteen (18) years of age, legally able to enter into binding legal agreements, and have the authority to bind such corporation, business or other legal entity to the Website Terms. If you do not meet any of the requirements, you must discontinue your access or use of the Site. 

Horangi reserves the right, in its sole discretion, to modify, alter or otherwise update the Website Terms at any time. By continuing to use the Site after such modification, alteration or update to the Website Terms, you are deemed to have acknowledged and accepted such the Website Terms, as amended. 

1. Disclaimer of Warranties 

1.1 Nothing in this Site shall be construed as creating any warranty or other obligation on the part of Horangi. 

1.2 All information offered on this Site is provided on an “as is” basis, without any express or implied warranty of any kind including warranties of merchantability, fitness for a particular purpose, or non-infringement. In no event will Horangi be liable to any party for any damages of any kind, including but not limited to direct, indirect, special or consequential damages for any use of this Site or any linked site including, without limitation, lost profits, loss of use, business interruption, loss of programs or other data, whether in an action based on contract, negligence or other tortious action, even if Horangi is expressly advised of the possibility of such damages.

1.3 Horangi does not warrant or guarantee the correctness, comprehensiveness, completeness, accuracy, timelines, merchantability or fitness for any particular use or purpose of any information or any products or services featured on this Site. 

1.4 This Site contains materials that may be owned by third Parties (“Third Party Site Materials”) You acknowledge and agree that: 

i) certain Third-Party Site Materials may not have been independently authenticated, tested, or verified in whole or in part by us; 

ii) where the Site contains links to other sites and resources provided by third parties, these links are provided for your information only, and that such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

1.5 We reserve the right to withdraw or amend the Site, and any Site Materials we provide on the Site, in our sole discretion with or without notice to you. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Site, or the entire Site.

2. Intellectual Property Rights 

2.1 We are the owner or the licensee of all Intellectual Property Rights in the Site and its related documentation and all materials contained in the Site (“Site Materials”), including Site Materials owned by third parties (“Third Party Site Materials”). Unless expressly granted in these Website Terms, all such rights are reserved by us. 

2.2 Horangi grants you a personal, worldwide, non-assignable, non-transferrable, non-sublicensable, non-exclusive and revocable license to access and use the Site to view the Site Materials and to find out more about us, our Product and our Professional Services only. We may, in our sole discretion, with or without notice to you terminate or vary the license granted to you under the Website Terms.

2.3 Comments, suggestions, ideas or materials (including without limitation original or creative materials) sent or transmitted to Horangi (collectively “Feedback”) shall be deemed to be non-confidential and shall become the sole property of Horangi. Subject to the conditions described on the privacy page of this Site, Horangi shall have no obligation of any kind with respect to such Feedback and shall be free to use, copy, modify and/or distribute the Feedback to others without limitation for any purpose, commercial or otherwise, without compensation or acknowledgement to you, including, but not limited to developing and marketing products incorporating such Feedback.

2.4 You acknowledge and agree that: 

i) certain Third-Party Site Materials may not have been independently authenticated, tested, or verified in whole or in part by us; 

ii) where the Site contains links to other sites and resources provided by third parties, these links are provided for your information only, and that such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

2.5 You shall not use any of Horangi’s service or product names, logos, or trademarks, unless first expressly authorised to do so by us in writing.

3. Acceptable Use

3.1 You represent and warrant that you shall not: 

i) Use the Site in any way that violates any applicable law, including any and all applicable trade and export regulations; 

ii) Except to the extent allowed under applicable law, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information relating to the Site or the Site Materials, or use any manual process to monitor or copy any such information for any other unauthorised purpose; 

iii) except to the extent allowed under applicable law, reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Site, circumvent its functions, or attempt to gain unauthorised access to any part of the Site or their related systems or networks; 

iv) attempt to gain unauthorised access to, interfere with, damage or disrupt any parts of the Site, the server(s) on which they are stored, or any server(s), computer(s) or database(s) connected to them; 

v) use the Site in a manner that any exceeds any limits set by us on maximum concurrent usage or could disable, overburden, damage, or impair the Site, including but not limited to consuming a commercially disproportionate amount of bandwidth, CPU usage, memory storage space, or any other network or system resource;

vi) attack the Site via a denial-of-service attack or a distributed denial-of-service attack;

vii) introduce into the Site any malicious or technologically harmful materials including but not limited to malware, viruses, Trojan horses, worms, logic bombs, harmful software code, data, or files that may damage, interfere with, intercept or expropriate any system, data, personal information or property; 

viii) use the Site to transmit, or procure the sending of, any advertising, promotional, or otherwise unauthorised material, including any “junk mail”, “chain letter” or “spam” or any other similar solicitation;

ix) Use the Site to impersonate or attempt to impersonate us, our employees, another user, or any other person or entity;

x) “frame”, “mirror” or serve any part of the Site on any web server or other computer server over the Internet or any other network;

xi) use any robot, spider, or other automatic device, process, or means (other than such application programming interfaces expressly authorised by us) to access, monitor, or otherwise copy any material on the Site or the Horangi Platform for any purpose; or

xii) otherwise attempt to misuse, abuse, or interfere with the proper working of the Site. 

4. Termination

4.1 These Website Terms will continue to apply until terminated by either you or us.

4.2 We reserve the right to terminate these Website Terms at any time with or without written notice to you. If we become aware of any possible violations by you in your use of the Site or the Horangi Platform, or any other provision of these Website Terms, we reserve the right to investigate such violations, and may, at our sole discretion, terminate or suspend your use of the Site or the Horangi Platform without prior notice to you

4.3 All provisions of these Website Terms that by their nature should survive termination shall survive (including, without limitation, all limitations on liability, indemnification obligations, disclaimers of warranties, governing law and dispute resolution, and intellectual property protection).

5. Indemnity and Liability 

5.1 You agree to indemnify, defend and hold harmless Horangi, its officers, directors, employees, agents, licensors, suppliers and any third-party information providers to the Site from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of these Website Terms.

5.2 TO THE EXTENT ALLOWABLE BY APPLICABLE LAW, HORANGI IS NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF HORANGI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), HOWEVER CAUSED, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SITE; (ii) STATEMENTS, MESSAGES, OR MATERIALS OF ANY THIRD PARTY ON THE SITE; OR (III) ANY OTHER MATTER RELATING TO THE SITE. NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN.

6. Governing Law

6.1 The Website Terms are governed by the laws of Singapore.
